Terms of Service

Welcome to BrilliPay. These Terms of Service govern your use of the BrilliPay platform, applications, APIs, and all related services provided by CBrilliance Technologies Ltd., a financial technology company registered in Nigeria.
1. Acceptance of Terms
By creating an account, accessing, or using BrilliPay's services, you agree to be bound by these Terms of Service. If you do not agree to these Terms, do not use our services.
These Terms constitute a legally binding agreement between you and CBrilliance Technologies Ltd. We may update these Terms from time to time, and continued use of our services constitutes acceptance of any changes.
2. Eligibility
To use BrilliPay, you must:
• Be at least 18 years of age (or the legal age of majority in your jurisdiction).
• Have the legal capacity to enter into a binding agreement.
• Complete our Know Your Customer (KYC) verification process.
• Not be a resident of a sanctioned country or on any sanctions list.
• Not have been previously suspended or removed from our platform.
Business accounts must be registered by an authorized representative with legal authority to bind the entity.
3. Account Registration & Security
You agree to:
• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your password, PIN, and authentication credentials confidential.
• Enable two-factor authentication (2FA) when available.
• Immediately notify us of any unauthorized access to your account.
You are responsible for all activities that occur under your account. BrilliPay is not liable for any loss arising from unauthorized use of your account due to your failure to protect your credentials.
4. Services
BrilliPay provides the following services, subject to availability in your jurisdiction:
• Digital Wallet: Multi-currency wallet for storing, sending, and receiving funds.
• Payments: Bill payments, airtime/data purchases, and utility payments.
• Transfers: Peer-to-peer transfers, bank transfers, and mobile money transfers.
• Merchant Services: Payment gateway, checkout pages, payment links, and settlement services.
• Agent Services: Cash-in/cash-out services and commission management.
• API Access: Developer APIs and SDKs for payment integration.
We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.
5. Fees & Pricing
Our fees are published on our Pricing page and may include:
• Transaction Fees: Applied per successful transaction based on payment method and volume.
• Transfer Fees: Applied to domestic and cross-border transfers.
• Currency Conversion: Foreign exchange rates with a markup may apply.
• Settlement Fees: Fees for withdrawals to bank accounts or mobile money wallets.
All fees are inclusive of applicable taxes unless stated otherwise. We reserve the right to change our fee structure with 30 days prior notice. Transaction fees are capped at NGN 2,000 per transaction for domestic payments.
6. Prohibited Activities
You agree not to use BrilliPay for:
• Money laundering, terrorist financing, or any illegal activity.
• Fraudulent transactions or misrepresentation of identity.
• Unauthorized access to other users accounts or data.
• Circumventing transaction limits, security measures, or KYC requirements.
• Distributing malware, spam, or conducting denial-of-service attacks.
• Selling or trading prohibited goods or services.
• Reverse engineering, decompiling, or disassembling our software.
• Any activity that violates applicable laws or regulations.
Violation of these prohibitions may result in immediate account suspension, fund freezing, and reporting to relevant authorities.
7. KYC / AML Compliance
In compliance with the Central Bank of Nigeria (CBN) regulations and applicable anti-money laundering (AML) laws, you agree to:
• Complete identity verification (KYC) as required for your account tier.
• Provide valid government-issued identification and proof of address.
• Submit to enhanced due diligence (EDD) when required.
• Allow us to verify your information through third-party services.
Transaction limits apply based on your KYC verification level. We may restrict or suspend accounts that fail to complete required verification.
8. Disputes & Chargebacks
If you believe a transaction was unauthorized or incorrect:
• Report the issue within 30 days of the transaction date.
• Provide supporting documentation for your claim.
• Cooperate with our investigation process.
We will investigate within 10 business days and, where appropriate, issue a provisional credit. Final resolution will be communicated within 45 days.
9. Intellectual Property
All content, features, and functionality of BrilliPay — including logos, trademarks, software, designs, text, and graphics — are owned by CBrilliance Technologies Ltd. and are protected by copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, or create derivative works from any BrilliPay content without our prior written consent.
10. Limitation of Liability
To the maximum extent permitted by law:
• BrilliPay is provided "as is" without warranties of any kind.
• We are not liable for indirect, incidental, special, consequential, or punitive damages.
• Our total liability for any claim shall not exceed the fees paid by you in the 12 months preceding the claim.
• We are not liable for losses arising from third-party service provider failures, network outages, or force majeure events.
11. Termination
Either party may terminate this agreement at any time:
• By You: Close your account through Settings or by contacting support. Outstanding balances will be settled within 30 days.
• By Us: We may suspend or terminate your account immediately for violation of these Terms, suspected fraud, regulatory requirements, or extended inactivity (12+ months).
Upon termination, you remain responsible for any pending transactions and outstanding fees.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes shall be resolved through:
1. Negotiation: Good faith negotiation for 30 days.
2. Mediation: If negotiation fails, mediation under the Lagos Multi-Door Courthouse.
3. Arbitration: Binding arbitration under the Arbitration and Mediation Act 2023.
The courts of Lagos, Nigeria shall have exclusive jurisdiction for any matters not subject to arbitration.
